By this point attendees will have entered negotiations with the executive of the company they wish to spend time and/or money on. Now we look at the letters and contracts that are required to cement the relationship and record the points agreed. The range of documents is covered: Share Holders’ Agreement, Employment Contracts, Offer Letter, etc. Some sample documents are provided and a Corporate Lawyer will give some insight into the issues and their resolution in real-world negotiations. We review the position where additional funds are required to complete the deal – what other sources are available. We hear from Corporate Finance specialist about how they can help in these situations. Finally, we close by discussing what happens when the deal is complete; how does the new team move towards providing a return to all team members successfully
Who should attend
You should attend this workshop if:
- You are considering spending time and/or money working with a business.
- You have never invested in a small company before but think it may be a good idea.
- You want to reduce the amount of time you devote to finding companies to work with.
- You want to reduce the number of failing companies you invest time or money with.
- You need an overview of the small company investment process.
- You need to increase the number of opportunities to review.
- You are concerned about the risks of working with the management team of small companies.
- You wish to diversify your investment portfolio by using a new asset class (private equity in unlisted businesses).
It is not a requirement to have attended the “Finding the Investable” workshop although this will be a distinct advantage.
Pre-requisites
You must have one of the following:
- At least two days per month you wish to invest spending time working in/on a company and at least £100,000 of free funds you wish to invest (being registered as a High Network Individual or Sophisticated Investor).
- You wish to spend at least a day a week working with an aspiring and keen management team of a small business.
Guest Speakers
There are two guest speakers for the final day. A Corporate Lawyer from a leading law firm will answer questions on the sample agreements and illustrate some points using examples from negotiations they were involved with. A Banker or Corporate Finance Boutique executive will explain how they can help bridge the gap when there are insufficient funds to complete a deal.
Outcome
By the end of the last day of this set of workshops you will have some sample agreements and understand what the clauses mean. You will know which agreements are required and know how to go about preparing them. You will know about other sources of funds that may be needed to complete a deal. You will know some of the issues that can occur once the deal has been signed and what strategies you can use to help prevent problems occurring.
