Conditions Precedent

Terms in a proposed agreement that must be met before the agreement becomes a contractually complete. For example, a condition precedent may require the provision of specific information or verification that other contracts are in place and have been reviewed.

An offer letter will often include a number of conditions precedent. As soon as all the conditions are met, the offer is complete and can be accepted by the receiving party.

Given that there are terms of agreement in the offer letter which may be changed by the conditions being met, an offer letter is usually also “Subject to contract”.
