Memorandum of Association

The Memorandum of Association sets out the following information for a UK limited company:

  • the company’s name
  • where the registered office of the company is situated (in England, Wales or Scotland)
  • and what the company will do (its objects)

The Articles of Association set out the rules for the company’s internal affairs and operation.

The Articles should be read in conjunction with the Shareholder Agreement (if one exists).
