Disclosure Letter
A letter that forms part of the documentation when investors exchange money for shares in the company. The disclosure letter is written by the directors of the company giving details of any issues that require formal notice to the new shareholders. This protects the directors since the new investors cannot, at a later date, say they did not know about the issues raised.
